Terms of Service

These Terms apply when you access the ZRC Media Network Pvt Ltd website, submit an enquiry, request a proposal, schedule a call, or engage with our software development, SaaS, CRM, SEO, performance marketing, social media, branding, video production, automation, or consulting services.

By using the website or communicating with us for business purposes, you agree to use the website lawfully and to provide accurate information. If you enter into a separate written proposal, statement of work, invoice, subscription, or contract with ZRC, that document will govern the specific commercial engagement.

Website content is provided for business information, service discovery, and enquiry purposes. You may not misuse the website, attempt unauthorized access, disrupt its operation, scrape content at scale, copy pages for misleading use, impersonate ZRC, or use the website for unlawful, abusive, fraudulent, or harmful activity.

We may update, remove, redesign, or restrict access to any part of the website at any time to improve performance, security, accuracy, compliance, or user experience.

Services are delivered according to the written scope approved by the client. A scope may include deliverables, timelines, dependencies, platform access, content requirements, revision limits, reporting cadence, payment schedule, and launch responsibilities.

Any work outside the approved scope may require a revised estimate, separate invoice, additional timeline, or new written approval. Examples include extra pages, new features, additional ad creatives, extra video cuts, integrations, urgent launches, migration work, third-party fixes, or new campaign channels.

Clients are responsible for providing accurate business information, brand assets, approvals, feedback, product details, legal disclaimers, access credentials, hosting or platform permissions, payment details, and any content needed to complete agreed work.

Delays in feedback, approvals, content, access, or payments may affect delivery timelines. ZRC is not responsible for delays caused by missing dependencies, third-party platform issues, client-side approvals, payment holds, or changes requested after work has started.

Fees, retainers, milestones, setup charges, ad management fees, development payments, recurring service charges, and taxes are defined in proposals, invoices, or written communication. Unless otherwise agreed, work may begin only after the required advance payment or milestone payment is received.

Payments are generally non-refundable once strategy, planning, design, development, campaign setup, production, consultation, or delivery work has started. Late payments may pause work, delay delivery, restrict access to files or reports, or result in additional administrative follow-up.

Reasonable revisions are handled according to the agreed scope. Revision requests should be specific, consolidated, and shared through the agreed communication channel. Repeated direction changes, new concepts, or changes after final approval may be treated as additional work.

Timelines shared during sales or planning are estimates unless expressly confirmed as fixed in writing. Delivery depends on scope complexity, client inputs, team availability, third-party tools, review cycles, testing needs, and payment status.

Many services depend on third-party platforms such as Google, Meta, LinkedIn, YouTube, WhatsApp providers, hosting companies, analytics tools, payment gateways, CRM systems, domain registrars, app stores, plugins, APIs, and automation tools.

ZRC is not responsible for outages, policy changes, account suspensions, review delays, rejected ads, algorithm changes, platform bugs, pricing changes, data discrepancies, or restrictions caused by third-party systems. Advertising spend, platform subscriptions, hosting, domains, plugins, stock assets, and third-party software fees are separate from ZRC service fees unless explicitly included.

We plan and execute work using professional effort, strategy, technical capability, and performance monitoring. However, rankings, traffic, conversions, revenue, ad approvals, follower growth, lead quality, and sales outcomes can be affected by competition, market demand, budget, offer strength, website quality, response time, pricing, platform algorithms, and client-side sales processes.

No guarantee is made for specific Google rankings, ad ROAS, follower counts, sales volume, lead volume, software adoption, or revenue unless a specific written guarantee is included in a signed agreement.

ZRC brand assets, website content, internal frameworks, reusable code libraries, process documents, templates, proposal formats, strategy systems, and know-how remain the property of ZRC Media Network Pvt Ltd unless otherwise agreed in writing.

After full payment, client-specific final deliverables may be used by the client according to the agreed scope. ZRC may reuse general knowledge, non-confidential methods, reusable components, and learnings developed during service delivery. We may display public work, approved screenshots, testimonials, and results in our portfolio or case studies unless a confidentiality restriction has been agreed.

Both parties should treat non-public business information, access credentials, customer lists, campaign plans, technical architecture, pricing details, and strategy documents as confidential. Clients should not share unnecessary sensitive information unless it is required for the project.

Personal information and project data are handled according to our Privacy Policy. Clients remain responsible for ensuring that data, media, claims, testimonials, product information, medical, financial, educational, legal, or regulated-industry content provided to ZRC is accurate and permitted for use.

Either party may request to pause or end an engagement according to the agreed proposal, invoice, retainer, or written terms. Completed work, consumed hours, strategy, setup, research, production, subscriptions, ad management, and approved deliverables remain payable.

ZRC may pause or terminate work if there is non-payment, abusive communication, unlawful requests, repeated scope violations, platform policy violations, security risk, or failure to provide required inputs.

To the maximum extent permitted by applicable law, ZRC Media Network Pvt Ltd will not be liable for indirect, incidental, special, consequential, punitive, or business-loss damages arising from website use, platform outages, ranking changes, ad account issues, third-party failures, delayed client inputs, or business decisions made using general website information.

Our total liability for a paid engagement will not exceed the amount paid to ZRC for the specific service giving rise to the claim, unless a separate written agreement states otherwise.

These Terms are governed by the laws applicable in India. Any concerns should first be raised with ZRC Media Network Pvt Ltd so both parties can attempt a practical business resolution.
